Client saved $6 Million in Oracle ULA Expansion Fees
Case Summary
The client had active P-ULA with Oracle for around 750+ programs across product lines Client underwent a merger activity during the term of PULA & Oracle sent notice to end PULA or pay millions in additional license fees. The client inherited the contract as a part of global negotiations and was not utilizing most of the programs Client was in no position to pay Oracle’s demand and wanted to understand its contractual rights & remedies along with the risks involved to create the best defence for Oracle’s claim and design the best go-forward strategy with minimum cost impact. The client decided to engage experts from Rizen for this task.
What we did?
Reviewed client’s existing contract & identified the key terms for client’s defence against Oracle Studied clients product utilization and identified more than 70 % unutilized products. Conducted discussions with CIO & his team to identify the product strategy for the next 5 years. Designed a complete strategy to defend Oracle’s claim from all possible legal & contractual angles. Designed contractual structures and models to negotiate with Oracle for the best outcome. Provided clients with sound negotiation tactics and tips. Identified key contractual terms to be negotiated with Oracle to avoid future risks for the client.
Result
The client was able to put up a strong defence against Oracle’s claim & adopted a strategy to be ready for a prolonged legal battle based on solid contractual provisions & strategy identified by Rizen’s experts. The client made a counteroffer along with key terms to Oracle & was able to save around $6 Million in new license fees & signed an amended contract covering merged entities along with key non-standard terms to avoid risks in future. Additionally, the client was able to determine the future strategy for additional savings on Oracle support which will be implemented in the coming years.
