Client Snapshot: A large Indian general insurance company running an extensive Oracle Database and Middleware estate on VMware virtualized infrastructure, targeted by an Oracle license compliance audit.

The Challenge

Oracle issued a compliance audit notice citing contractual restrictions on VMware deployments, arguing the client's virtualized environment did not qualify as a valid means of limiting licensable capacity. On that basis, Oracle proposed a compliance claim of $29.5M and pushed for a quick closure — before the client had an independent view of its actual license position or Oracle's contractual footing.

Our Approach

Rizen conducted a detailed license audit of the client's full Oracle estate, identifying every instance of non-compliance and recommending remedial action wherever exposure could be reduced directly. In parallel, we ran a clause-by-clause review of the client's Oracle contracts and Oracle's own audit and partitioning policies, building a documented legal defense from insider knowledge of how Oracle's claims are actually constructed — forcing Oracle to the negotiating table. We then delivered a detailed negotiation strategy, levers, and target deal structure that shaped the final settlement.

The Results

Oracle's $29.5M claim cut by ~70%: independent audit defense and negotiation brought Oracle's proposed compliance claim down to a final settlement of $8.9M.

Detailed negotiation strategy & target structure delivered: Rizen provided the client a specific negotiation playbook — levers, sequencing, and a target contractual structure — to guide the final deal.

$15M in non-compliance identified and addressed: a detailed license audit uncovered every instance of unlicensed product usage across the VMware estate, with remedial guidance provided wherever exposure could be reduced pre-negotiation.

Full compliance achieved under the new contract: the final $8.9M agreement brought every previously unlicensed product under proper license — closing the compliance gap entirely, not just settling the bill.

Insider contractual defense turned pressure into leverage: a clause-by-clause review of the client's Oracle agreements and Oracle's own partitioning and audit policies produced a documented legal position that directly challenged the basis of Oracle's claim.

Settlement priced below the identified exposure itself: the negotiated $8.9M outcome came in under the $15M in raw non-compliance exposure identified during audit, while also securing forward license coverage.

Oracle moved from claim to negotiation: the strength of the contractual defense shifted Oracle off its initial audit position and onto a negotiated settlement track.

Independent, client-side advisory throughout: Rizen represented the client's interest exclusively across audit response, contractual defense, and negotiation — never Oracle's.

Note: figures converted from INR at an illustrative rate of ₹83 = $1. Original claim ₹245 Cr; final settlement ₹74 Cr.
