Client Snapshot: A Fortune 500 multinational technology conglomerate operating a large, hybrid Oracle estate — SAP and Non-SAP applications, spanning cloud and VMware infrastructure, licensed under an Oracle Unlimited License Agreement (ULA) and a Named User Plus (NUP) contract, across 180+ database instances and dozens of global subsidiaries — with its Oracle ULA renewal just 6 months away.

The Challenge

With its 5-year Oracle ULA due to expire in just 6 months, the client needed a clear, defensible picture of its Oracle usage before heading into renewal negotiations. Years of infrastructure growth, cloud migration, and subsidiary expansion had pushed its Oracle footprint well beyond contracted entitlements, and software asset management had not kept pace with the spread of the business.

The license assessment uncovered unlicensed usage across both the SAP and Non-SAP environments — including subsidiaries running SAP on Oracle outside the scope of the existing ULA — exposing the organization to as much as $20.8M in potential Oracle license liability. A significant share of production databases were also running unsupported, end-of-life versions, creating an unmanaged security gap alongside the licensing risk.

Our Approach

Full Technical & Contractual Audit

We mapped every Oracle deployment across SAP and Non-SAP, cloud and VMware environments, and reconciled actual usage against ULA and Named User Plus contract entitlements.

Prioritized Remediation, Validated Results

We delivered a roadmap covering license true-ups, infrastructure consolidation, and license harvesting opportunities — then partnered with the client's IT teams through a 10-month implementation before running a full independent re-audit to confirm the outcome.

Turning Findings Into Negotiating Leverage

With the ULA renewal deadline six months out, Rizen used the license assessment findings as leverage to negotiate a proactive new deal covering both SAP and Non-SAP environments — rationalizing growth-driven license demand and designing effective commercial and contractual strategies for the renewal.

Built for What's Next

The renegotiated terms went beyond cost: they secured enhanced contractual rights covering future M&A activity and license usage by affiliates, positioning the client's Oracle estate to scale without renegotiating from scratch.
